provided by Langscore Inc ("Langscore," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by
these Terms. If you are using the Services on behalf of an
organization, you represent and warrant that you have authority
to bind that organization to these Terms, and “you” refers to
that organization.
Not legal advice. These Terms are provided for general
informational and contractual purposes and do not constitute
legal advice.
2. Eligibility and Accounts
- You must be at least 18 years old and have the legal
capacity to agree to these Terms.
- You may need an account to use some Services. You are
responsible for maintaining the confidentiality of your
credentials and for all activities under your account.
- You must provide accurate and complete information and keep
it up to date.
3. Services and Changes
We may add, modify, or discontinue features or Services at any
time. If we make material changes that negatively impact you, we
will use reasonable efforts to notify you in advance where
practicable.
4. Fees, Billing, and Taxes
- Some Services require payment of fees. Prices and payment
terms will be presented at the time of purchase or in an
order form.
- Payments are processed by third-party payment processors
(e.g., Stripe). You authorize us and our processors to
charge your payment method for all fees and applicable
taxes.
- Unless stated otherwise, fees are non-refundable and
exclusive of taxes. You are responsible for all sales, use,
VAT, GST, or similar taxes, except taxes based on our net
income.
- If you are on a subscription plan, your subscription will
automatically renew at the end of each billing cycle unless
you cancel in accordance with these Terms.

5. Trials, Beta Features, and Pre‑Release
- We may offer free or discounted trials. We reserve the right
to determine eligibility and to modify or terminate a trial
at any time.
- We may offer beta or pre-release features. These are
provided “as is,” may be modified or discontinued at any
time, and may not be covered by support or SLAs.
6. Acceptable Use
You agree not to misuse the Services. Prohibited actions
include:
- Illegal activity or violation of applicable laws or
regulations.
- Infringing, misappropriating, or violating others’ rights,
including intellectual property and privacy rights.
- Attempting to probe, scan, or test the vulnerability of any
system or network without authorization, or circumventing
security or authentication measures.
- Interfering with or disrupting the integrity or performance
of the Services.
- Submitting malware, harmful code, or content that is
defamatory, obscene, or otherwise objectionable.
- Using the Services to train models in a way that violates
these Terms or applicable law.
7. Ownership and License
- We and our licensors own all right, title, and interest in
and to the Services, including software, documentation, and
content provided by us.
- Subject to these Terms, we grant you a limited,
non-exclusive, non-transferable, revocable license to access
and use the Services for your internal business purposes.
- You may not reverse engineer, decompile, disassemble, or
otherwise attempt to derive the source code or underlying
algorithms of the Services, except to the extent expressly
permitted by applicable law.
- We reserve all rights not expressly granted herein.
8. Customer Data and Privacy
You retain all rights to the data, content, and materials you
submit to the Services ("Customer Data"). You grant us a limited
license to process Customer Data solely to provide, maintain,
and improve the Services and as otherwise permitted by our Privacy Policy.
We implement appropriate technical and organizational measures
to protect Customer Data as described on our Security page. Additional
data processing terms may be made available for execution where required
by law.
9. Confidentiality
Each party may have access to the other party’s confidential
information. The receiving party will protect such information
with at least the same degree of care it uses to protect its own
confidential information and will use it only to perform
obligations or exercise rights under these Terms. This
obligation does not apply to information that is public, already
known, independently developed, or rightfully received from a
third party.
10. Third‑Party Services
The Services may interoperate with or rely on third‑party
products and services. Your use of any third‑party services is
subject to their terms, and we are not responsible for
third‑party services or their actions.
11. Warranties and Disclaimers
- You represent and warrant that you have all rights necessary
to submit Customer Data and to use the Services.
- EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS
IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND,
WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, TITLE, AND NON‑INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL
LANGSCORE OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS,
SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY
LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR
RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY
FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE
AMOUNTS PAID BY YOU TO US FOR THE SERVICES THAT GAVE RISE TO THE
CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE
TO LIABILITY.
13. Indemnification
You will defend, indemnify, and hold harmless Langscore and our
affiliates, officers, employees, and agents from and against any
claims, liabilities, damages, losses, and expenses (including
reasonable attorneys’ fees) arising from or related to: (a) your
use of the Services; (b) your violation of these Terms; or (c)
your violation of any applicable law or third‑party rights.
14. Term, Suspension, and Termination
- These Terms remain in effect until terminated as provided
herein.
- We may suspend or terminate your access to the Services
immediately if you violate these Terms, if required by law,
or to address security or operational risks.
- You may stop using the Services at any time. For
subscription services, cancellation will be effective at the
end of the then‑current billing cycle unless otherwise
stated.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware,
USA, without regard to conflict of laws principles. The parties
consent to the personal and exclusive jurisdiction and venue of
the state and federal courts located in Delaware for any dispute
that is not subject to arbitration or cannot be resolved
informally.
Where permitted by law, disputes will first be discussed in good
faith within thirty (30) days of notice. Nothing prevents either
party from seeking injunctive relief to prevent irreparable
harm.
16. Export and Sanctions
You represent that you are not located in, under the control of,
or a national or resident of any country or person subject to
applicable trade sanctions or export restrictions. You will
comply with all applicable export control and sanctions laws.
17. Changes to These Terms
We may update these Terms from time to time. If we make material
changes, we will provide notice by posting the updated Terms on
this page and updating the “Last Updated” date. Your continued
use of the Services after changes become effective constitutes
acceptance of the updated Terms.
18. Miscellaneous
- Entire Agreement. These Terms constitute the entire
agreement between you and Langscore regarding the Services
and supersede prior or contemporaneous agreements on the
subject matter.
- Assignment. You may not assign these Terms without our prior
written consent. We may assign these Terms to an affiliate
or in connection with a merger, acquisition, or sale of
assets.
- Severability. If any provision is found unenforceable, the
remaining provisions will remain in full force and effect.
- Waiver. Our failure to enforce any provision is not a waiver
of our right to do so later.
- Order of Precedence. If you have executed a separate
agreement with Langscore for the Services, that agreement
will control to the extent of any direct conflict with these
Terms.
